M&A integration

An M&A integration is the process of bringing two organisations together after a deal is announced, planning how people, functions and operations will combine, so that the new business can run seamlessly as one from the moment the deal completes.

M&A integration

Overview

Following the announcement of a major acquisition in the specialty (re)insurance market, the two global organisations needed to plan how they would come together ahead of completion. Over a six-month period, we supported the pre-close integration across numerous functions and workstreams, with a single objective: making sure the combined business was ready to operate smoothly and stably from Day 1.

My role was focussed on organisational design workstreams. This involved turning the deal's synergy targets into clear people requirements for each function, then working with teams to design the future organisation and determine where roles would fit.

I then worked with UK stakeholders to develop the detailed UK organisation design, underpinned by clear rationale and supporting analysis.

The work involved helping the executive team set and validate synergy targets, assess the impact on teams and plan organisational changes. In the UK, I worked with teams including Pricing and Technology to design future team structures, provide supporting analysis and prepare day-one readiness materials.

The result was an executive team fully aligned on the high-level global organisation design, and an agreed path to achieving the synergy targets. In the UK, teams were operationally ready for Day 1, from business communications through to first 100-day plans that set people up to succeed in their new roles.

Commercial due diligence for a global Private Equity fund

A commercial due diligence takes place when a buyer is considering acquiring a target company and wants an independent assessment of the business. It examines the target's market position, growth prospects and key risks through expert interviews, data analysis and a review of company information. At Oxbow Partners, we support both buy-side (commercial) and sell-side (vendor) due diligence engagements.
